  1. About the Website
    1. Welcome to https://www.theofficeshoppe.com.au (the ‘Website’). The Website provides you with an opportunity to browse and purchase various products that have been listed for sale through the Website (the ‘Products’). The Website provides this service by way of granting you access to the content on the Website (the ‘Purchase Services’).
    2. The Website is owned and operated by The Office Shoppe Pty Ltd ABN 74 647 797 706 (‘The Office Shoppe’). Access to and use of the Website, or any of its associated Products or Purchase Services, is provided by The Office Shoppe.
    3. Please read these terms and conditions (the ‘Terms’) carefully. By using, browsing and/or reading the Website, Products or Purchase Services, this signifies that you have read, understood and agree to be bound by the Terms. If you do not agree with the Terms, you must cease usage of the Website, or any of the Purchase Services, immediately.
  2. Registering an Account & Guest use of the Purchase Services
    1. The Website provides you with the option of registering a user account. The purpose of an Account is to improve your experience on the Website when purchasing products through the Purchase Service. We call this a ‘My Office Shoppe’ Account (each an ‘Account’) as it provides you with a dashboard view of your dealings with The Office Shoppe. You may register an Account in the manner set out on the Website and through the Purchase Services.
    2. You do not need to register an Account to access or browse the Website, or purchase Products through the Purchase Services. A guest checkout service (checking out as a ‘Guest’) is available, whereby an order may be placed and payment made through the Purchase Services without the creation of an Account.
    3. In either case of registering an Account on the Website and/or placing an order through the Purchase Services using an Account or as a Guest, you are required to provide certain information (including ‘Personal Information’) to us.This information may include your:
      1. Email Address.
      2. Phone Number.
      3. Billing and Shipping First Name and/or Last Name.
      4. Billing and Shipping Company Name.
      5. Billing and Shipping Address.
      6. Order notes (into which personal information may be entered).
      7. Your choice in Payment Gateway Provider online payment system, and associated financial information including payment details.
      8. Your message to us which may contain personal information including commentary or opinion regarding your experiences with our products and services.
    4. Any information, including Personal Information, collected through your use of the Website and/or the Purchase Services are subject to The Office Shoppe’s Privacy Policy.
    5. Your acceptance of and agreement to the Terms includes your acceptance of and agreement to the linked Privacy Policy.
    6. All information provided by you to us when registering an Account on the Website and/or placing an order through the Purchase Services must be current, correct and complete. The Office Shoppe accepts no responsibility for any incomplete, ineligible, incomprehensible, incorrect or generally erroneous information provided by you to us, or any loss or damage you might suffer as a result of it.
    7. Once you have registered an Account and you are logged in as that Account, you may then access features made available only to My Office Shoppe Account holders and place orders through the Purchase Service using the Account.
    8. You must not use any automated tool or algorithm or any manual process or action that performs the same function to register an Account.
    9. The Office Shoppe reserves the right, in its sole and absolute discretion, to update, modify, deprecate, adjust, alter, remove, cancel, permanently delete, or otherwise change, any element of, functionality within or data relating to the My Office Shoppe Account service in whole or part.
    10. The Office Shoppe reserves the right, in its absolute and sole discretion, to accept, reject or delete any Account and/or access to or use of the Website and its Purchase Services.
    11. Reasons for rejecting or deleting an Account may include (but is not limited to): any prohibited acts as outlined in this section or under section 4. Prohibitions; any breach of the Terms; any unlawful act, or any act which may not be in accord with the reasons for which the Website and its Purchase Services is provided or in any way other than that which it is intended to be used.
    12. Any decision of The Office Shoppe is final and no correspondence will be entered into.
    13. Any illegal or unauthorised use of the Website and its Purchase Services and/or breach of these terms will constitute a criminal offence, and relevant details will be shared with enforcement authorities and legal action will be taken by The Office Shoppe and our legal rights to recover damages or other compensation from such acts are reserved.
    14. You may not register or use an Account on the Website, or make a purchase using an Account or as a Guest through the Purchase Services if:
      1. you are under 18 years of age and thus not of legal age to form a binding contract with The Office Shoppe; or
      2. you are a person barred from receiving the Purchase Services under the laws of Australia or other countries including the country in which you are resident or from which you use the Purchase Services.
  3. Your obligations as an Account holder or Guest
    1. As a Website Account holder and/or Guest user of the Purchase Services, you agree to comply with the following:You will use the Website and its Purchase Services only for purposes that are permitted by:
      1. the Terms;
      2. any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions;
      3. access and use of the Website is limited, non-transferable and allows for the sole use of the Website by you for the purposes of The Office Shoppe providing the Purchase Services;
      4. you will not use the Purchase Services or Website for any illegal and/or unauthorised or prohibited use;
      5. you will never use another person’s Account without their permission.
      6. you warrant that any information provided by you to The Office Shoppe will always be current, correct and complete;
      7. you agree that commercial advertisements, affiliate links, and other forms of solicitation may be removed from the Website without notice and may result in termination of the Purchase Services;
      8. you agree to immediately notify The Office Shoppe of any illegal or unauthorised use of the Website and its Purchase Services or any other breach of security of which you have become aware.
      9. appropriate legal action will be taken by The Office Shoppe for any illegal or unauthorised use of the Website.
    2. As a Website Account holder you also agree to comply with the following:You are solely responsible for:
      1. creating and maintaining a unique and strong Account password;
      2. protecting and maintaining the strict confidentiality of your Account details;
      3. controlling access to and permitting the use of your Account;
      4. any and all activity under or use of your Account;
      5. notifying The Office Shoppe if you would like to delete (i.e. close) your Account; and
      6. you agree to immediately notify The Office Shoppe of any illegal or unauthorised use of your Account or any other breach of security of which you have become aware.
    3. The Office Shoppe will not be responsible or liable for any loss or damage arising from your failure to comply with this provision.
  4. Prohibitions
    1. Notwithstanding any other provision of the Terms you agree and undertake not to use the Website and its Purchase Services for any reason other than that which it is provided, or in any way other than that which it is intended to be used.
    2. You must not access, use, transact, or generally act upon the Website or its Purchase Services (or attempt to do so, or authorise any third party to) in any way including, but not limited to the following:
      1. download, rip, copy, replicate, reproduce, mimic, adapt, change, convert, create a derivative work from, distribute, republish or store (in any medium) any element, functionality or data in whole or part.
      2. hack, frame, modify, tamper, corrupt, intercept, translate, decompile, disassemble, reverse engineer, delete or otherwise convert any element, functionality or data in whole or part;
      3. conduct, transmit or distribute any attack, virus, trojan, worm, malware, ransomware or any other process, tool or material which is malicious, technologically harmful, or that may affect the performance, functionality or security of any element, functionality or data in whole or part;
      4. use any robot, scraper, crawler, spider, script, deep link or any other automated tool or algorithm or any manual process or action that performs the same function;
      5. use inline linking (also known as hotlinking, leeching, piggy-backing, direct linking or offsite image grabs) or any other form of bandwidth theft;
      6. use your access to, or information gathered from the Website and its Purchase Services to send any unsolicited Email or bulk Emails (commonly referred to as “spam”);
      7. use hyperlinks, hypertext links, URL links, graphic links, or other direction connection mechanisms for profit or gain;
      8. remove, disable, defeat, circumvent, modify or tamper with any processes, functionality, or security feature of any element in part or whole;
      9. use any element unfairly or to commit or support an illegal or immoral act;
      10. resell, rent, lease, lend, transfer or transmit any element, functionality or data in whole or part;
      11. display, communicate, show or play in public any element, functionality or data in whole or part.
    3. You must not enter, upload, post, transmit or otherwise make available through the Website or its Purchase Services (or attempt to do so, or authorise any third party to) any material which:
      1. encourages illegal and/or unauthorised use, gives rise to a criminal offence, civil liability or otherwise violates any law;
      2. violates or infringes upon the privacy or rights (including intellectual property rights) of any person;
      3. is in any way offensive, abusive, threatening or defamatory;
      4. may cause annoyance, distress or inconvenience to, or be in breach of confidence or incite hatred of any person;
      5. solicits personal information (e.g. email addresses or telephone numbers), sensitive information (e.g. health records), or passwords from any person;
      6. inhibits, restricts, abuses, tampers with or affects in any way, any element, functionality or operation, or users of the Website or its Purchase Services or of any any user’s computer system (e.g. by distribution of malware).
    4. Any illegal or unauthorised use of the Website and its Purchase Services and/or breach of these terms will constitute a criminal offence, and relevant details will be shared with enforcement authorities and legal action will be taken by The Office Shoppe and our legal rights to recover damages or other compensation from such acts are reserved.
    5. We will not be liable for any loss or damage caused by an attack, virus, trojan, worm, malware, ransomware or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the Website or its Purchase Services, or to your downloading of any material posted on it, or on any website linked to it.
  5. Purchase of Products
    1. Via the Website you may browse various Products that have been listed for sale by way of the Purchase Service and make purchases by selecting Products and placing an order as directed by the Purchase Service and in accordance with the Terms.
    2. Any order placed for Products by way of the Purchase Services on the Website is an offer by you to purchase the selected Products for the price listed on the website (including the delivery and other charges) (the ‘Purchase Price’) at the time of placing the order.
    3. You acknowledge that by placing an order, you are agreeing to pay the Purchase Price for and accept delivery of the Products ordered, and that you are subject to your compliance with any specific limitations shown on the Website and its Purchase Services, or applicable Payment Gateway Providers and Delivery Service Providers.
    4. Payment of the Purchase Price may be made through one of the following third party providers:
      1. PayPal
      2. POLi Payments (the ‘Payment Gateway Providers’)
    5. In using the Purchase Service to place an order for Products on the Website, you warrant that;
      1. all information provided by you to us is legal, current, correct and complete;
      2. you have familiarised yourself with, and agree to be bound by, the terms of the Office Shoppe;
      3. you have familiarised yourself with, and agree to be bound by, the applicable Terms and Conditions of Use, Privacy Policy and other relevant legal documentation provided by the Payment Gateway Providers and linked/associated Bank, Credit or Debit account, and Delivery Service Providers;
      4. you are an authorised user of your chosen Payment Gateway Provider account and linked/associated Bank, Credit or Debit account used to make payment for your order;
      5. that your chosen payment method can make full payment of the order Purchase Price;
    6. Upon receipt of an order, The Office will perform certain checks to verify the information provided by you is legal, current, correct and complete, and to verify your chosen payment method has made full payment of the order Purchase Price. Additional checks or information may be required before we accept any order. Orders will not be shipped until all checks have been completed.
    7. Following full payment of the Purchase Price being confirmed by The Office Shoppe, you will be sent an Email to confirm that the payment has been received and an invoice for your order.
    8. The Office Shoppe may change Purchase Prices at any time and Products placed in the ‘Cart’ but not paid for are also subject to change. You agree to pay the price current at the point of payment.
    9. Whilst we make every effort to ensure the accuracy of information on the Website and in the Purchase Services, The Office Shoppe is not responsible for any error and reserves the right, in its absolute discretion, to accept, reject or cancel any order for Products through the Purchase Service on the Website for any reason.
    10. Reasons for rejecting or cancelling an order may include (but is not limited to) the unavailability of any Product, an error in the depiction, description or price of any Product, if there is an error in your order or the information provided by you to us, or payment was not successfully or only partially received from you.
    11. If we cancel an order, we will endeavour to notify you by email of our rejection within a reasonable time-frame and we may offer the option of changing and/or placing the order again. If we are unable to contact you, or you do not respond within a reasonable time-frame we will treat the order as cancelled.
    12. If you ask us to cancel an order, and the Products have not yet been packed or passed onto the Delivery Service Provider, then The Office Shoppe may cancel the order, at it’s sole discretion. If the Products have already been packed or passed onto the Delivery Service Provider, the Products are in a deliverable state and The Office Shoppe can no longer be considered to hold title over the Products, then you and The Office Shoppe irrevocably and unconditionally agree that the order is still valid, both parties are still subject to the Terms, and you will accept delivery of the Products ordered. If you do not wish to accept the Products ordered, then you may utilise our Returns & Exchanges process, per section 9. Returns & Exchanges Policy.
    13. Any cancelled order that has been paid for, will be refunded in full, minus any Payment Gateway Provider and/or linked/associated Bank, Credit or Debit account processing fees incurred by The Office Shoppe as part of the original payment and/or the subsequent refund.
    14. The Office Shoppe only offers its Products for sale and accepts orders from within mainland Australia and Tasmania.
  6. About our prices
    1. As a small independent online retailer, that is just starting out in business and presently does not expect to reach or exceed the GST turnover threshold, The Office Shoppe is not presently registered for the Goods and Services Tax (GST).
    2. This means that all prices displayed on the Website and its Purchase Services do not include GST (That is – no price is either exclusive (ex GST) or inclusive (inc GST) of GST, but instead all prices contain no portion or percentage of GST) and no amount of GST is charged when payment is made for an order.
    3. In all cases and at all times we always state the total price as a single figure. The Cart, Checkout and Invoice totals also display a GST row to further clarify that no GST is paid.
    4. As The Office Shoppe is not registered for GST, our invoices cannot and do not include the words ‘tax invoice’ and are issued only as normal invoices.
    5. The Australian Tax Office (ATO) website page on Registering for GST states (redacted and rephrased for specific relevancy to The Office Shoppe) that:
      1. a business or enterprise must register for GST if it has a GST turnover (gross income minus GST) of $75 000 or more, or it wants to claim fuel tax credits;
      2. if a business or enterprise doesn’t fit into one of the above categories, registering for GST is optional; and
      3. if your turnover exceeds the relevant threshold, you must register within 21 days of reaching it.
    6. If The Office Shoppe’s turnover exceeds the relevant threshold, we will register for GST within 21 days of reaching it. From that point in time moving forward:
      1. all prices on the Website and its Purchase Services (including invoices) will be displayed in a manner that clearly and accurately indicates they are inclusive of GST (inc GST);
      2. all invoices will include the words ‘tax invoice’; and
      3. all purchases and payments made to The Office Shoppe will include the charging of the Goods and Services Tax (GST).
    7. Prices displayed on the Website and its Purchase Services are current at the time of issue, but The Office Shoppe reserves the right to review, amend and/or change any prices at any time, without notice, and at its sole and absolute discretion. Any revision to prices will be posted directly to the Website and its Purchase Services and will be effective immediately.
  7. Postage & Handling
    1. You acknowledge that the Purchase Services offered by The Office Shoppe integrate delivery (the ‘Delivery Services’) through the use of third party delivery companies (the ‘Delivery Service Providers’).
    2. In providing the Purchase Services, The Office Shoppe may provide you with a variety of delivery and insurance options offered as part of the Delivery Services by the Delivery Service Providers. You acknowledge and agree that The Office Shoppe is not the provider of these delivery and insurance options and merely facilitates your interaction with the Delivery Service Providers in respect to providing the Delivery Services.
    3. The Office Shoppe makes such contract with the Delivery Service Providers on behalf of you, the buyer, with full regard to the nature of the products and the circumstances of the Delivery Services.
    4. In the event that a parcel or product is lost or damaged in the course of the Delivery Services, The Office Shoppe asks that you:
      1. contact the Delivery Service Provider directly to request compensation or to claim on any insurance options available; and
      2. contact us by sending an Email to sales@theofficeshoppe.com.au outlining in what way the Products were lost or damaged in transit so that we may conduct our own internal review of the Delivery Service Provider and consider any actions of our own.
    5. Products purchased through your use of the Website and/or the Purchase Services are subject to the Terms and The Office Shoppe’s Postage & Handling policy.
    6. Your acceptance of and agreement to the Terms includes your acceptance of and agreement to the linked Returns & Exchanges policy.
  8. Returns & Exchanges
    1. The Office Shoppe’s Products come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure of purchased products. You are also entitled to have the products repaired or replaced if the products fail to be of acceptable quality.
    2. You may make a Warranty Claim for any Product that is found to have defects in material or workmanship. The Office Shoppe may, at their sole discretion, also permit the return or exchange of Products for reasons other than a Warranty Claim.
    3. Any Warranty Claims, returns of or exchanges for Products purchased through your use of the Website and/or the Purchase Services are subject to the Terms and The Office Shoppe’s Returns & Exchanges policy.
    4. Your acceptance of and agreement to the Terms includes your acceptance of and agreement to the linked Returns & Exchanges policy.
  9. Privacy
    1. The Office Shoppe truly appreciates your business and respects your privacy and the confidentiality of information provided by you.
    2. The Office Shoppe adheres to and is bound by the provisions of the Privacy Act 1988 (Cth) (the Privacy Act), including the Australian Privacy Principles (APPs) which govern the way in which we collect, use, disclose, store, secure and dispose of personal information.
    3. Any information collected through your use of the Website and/or the Purchase Services are subject to The Office Shoppe’s Privacy Policy.
    4. Your acceptance of and agreement to the Terms includes your acceptance of and agreement to the linked Privacy Policy.
  10. Title & Risk
    1. Title to purchased products and the associated risk of loss remains with The Office Shoppe until such time as the products have been put in a deliverable state.
    2. As the seller we are bound to pass on (to ‘Ship’) the purchased products to the Delivery Service Provider, for the purpose of putting them into a deliverable state (for the Delivery Service Provider to ‘Deliver’ as part of the Delivery Services). Through The Office Shoppe’s actions of Shipping the purchased products and providing notice thereof to the buyer (through our ‘Order Shipped’ Email), the purchased products are at that point deemed to have been put in a deliverable state.
    3. From this point (the products having been put in a deliverable state) forth, the title to purchased products and all associated risk is transferred from The Office Shoppe to you, the buyer, including any risk of loss or damage to the products in the course of the Delivery Services.
  11. Warranty
    1. The Office Shoppe’s Products come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure of the Product. You are also entitled to have the Products repaired or replaced if the Products fail to be of acceptable quality and the failure does not amount to a major failure (the ‘Warranty’).
    2. You may make a claim under this clause (the ‘Warranty Claim’) for any Product that is found to have defects in material or workmanship.
    3. In order to make a Warranty Claim, you must send notice to The Office Shoppe, in the manner described in the Defective Products section of the Returns & Exchanges policy.
    4. Where the Warranty Claim is accepted, The Office Shoppe, at its sole discretion, will then have the defective product: refunded or exchanged if the product has a major problem; or if the problem is not major, we may repair the item within a reasonable time; or alternatively, we may compensate you for any drop in value and you keep the product.
    5. The Warranty shall be the sole and exclusive warranty granted by The Office Shoppe and shall be the sole and exclusive remedy available to you in addition to other rights and under a law in relation to the Products to which this warranty relates.
    6. All implied warranties including the warranties of merchantability and fitness for use are limited.
    7. The Warranty does not apply to any appearance of the supplied Products nor to the additional excluded items set forth below nor to any supplied Products where the exterior of which has been damaged or defaced, which has been subjected to misuse, abnormal service or handling, or which has been altered or modified in design or construction.
    8. The Office Shoppe will not accept a Warranty Claim where, in its reasonable opinion:
      1. the Product is not defective;
      2. the defect is a result of the consumption, deterioration, or general wear and tear typically associated with reasonable use of the Product;
      3. the Product defect is due to improper or abnormal use, or use not in accordance with manufacturer instructions; or
      4. the customer has caused the product to become unacceptable or failed to take steps to prevent the product from becoming unacceptable.
      The Office Shoppe reserves the right to recover its reasonable costs in relation to Warranty Claims in these circumstances.
    9. All Warranty Claims are also subject to the Returns & Exchanges policy per section 9. Returns & Exchanges Policy.
  12. General Disclaimer
    1. You acknowledge that The Office Shoppe does not make any terms, guarantees, warranties, representations or conditions whatsoever regarding the Products other than provided for pursuant to these Terms.
    2. The Office Shoppe will make every effort to ensure a Product is accurately depicted and described on the Website, however, you acknowledge that sizes, colours and packaging may differ from what is represented on the Website.
    3. Nothing in these Terms limits or excludes any guarantees, warranties, representations or conditions implied or imposed by law, including the Australian Consumer Law (or any liability under them) and the Consumer Guarantees which by law may not be limited or excluded.
    4. Subject to this clause, and to the extent permitted by law:
      1. all terms, guarantees, warranties, representations or conditions which are not expressly stated in these Terms are excluded; and
      2. The Office Shoppe will not be liable for any special, indirect or consequential loss or damage (unless such loss or damage is reasonably foreseeable resulting from our failure to meet an applicable Consumer Guarantee), loss of use, data, profit or opportunity (whether incurred directly or indirectly), or damage to goodwill or business reputation and any other intangible loss arising out of or in connection with the Website and its Purchase Services or these Terms (including as a result of not being able to use the Purchase Services or the late supply of the Purchase Services), whether at common law, under contract, tort (including negligence), in equity, pursuant to statute or otherwise.
    5. The Website, Purchase Services, and the Products of The Office Shoppe (including the Delivery Services) are provided on an ‘as is’ and ‘as available’ basis, without warranty or condition of any kind, and use of it these are at your own risk. None of the owners, directors, officers, employees, consultants, agents, affiliates, contributors, third party content providers or licensors of The Office Shoppe (including any third party where the Delivery Services are made available to you): to the extent permitted by law, will be liable or responsible in any way (including in negligence) for; or make any express or implied representation or warranty about; its Content or any Products or Purchase Services (including the Products or Purchase Services of The Office Shoppe) referred to on the Website. This includes (but is not restricted to) loss or damage you might suffer as a result of any of the following:
      1. the Website or its Purchase Services (including the Delivery Services) is not capable of running as planned for any reason beyond the reasonable control of The Office Shoppe, including because of war, terrorism, state of emergency or disaster (including natural disaster);
      2. technical failures or any failures which corrupt or affect the administration, security, fairness, integrity, performance or proper conduct of the Website or its Purchase Services (including the Delivery Services), such as error, omission, interruption, deletion, defect, failure to correct defects, delay in operation or transmission, computer virus or other harmful component, or bugs;
      3. any prohibited activity as outlined in section 4. Prohibitions, such as unlawful third party conduct, or theft, destruction, tampering, alteration or unauthorised access of data;
      4. the accuracy, suitability or currency of any information on the Website, the Purchase Service, or any of its Content related products (including third party material and advertisements on the Website);
      5. costs incurred as a result of you using the Website, the Purchase Services or any of the Products;
      6. the Content or operation in respect to links which are provided for the User’s convenience;
      7. any failure to complete a transaction, or any loss arising from e-commerce transacted on the Website; or
      8. any defamatory, threatening, offensive or unlawful conduct of third parties or publication of any materials relating to or constituting such conduct.
    6. Any costs associated with accessing accessing, using, and downloading (where applicable) the Website its Content and its Purchase Services remain your responsibility and are dependent on the service provider used.
    7. You also understand that we cannot and do not guarantee or warrant that any material available for download via the Website will be free from infection, viruses, malware, ransomware and/or other code that has contaminating or destructive properties. You are responsible for implementing sufficient procedures and virus checks to satisfy your particular requirements.
    8. The Office Shoppe reserves the right, in its absolute discretion, to cancel, terminate, modify or suspend the Website, all its Content, and its Purchase Services.
  13. Limitation of Liability
    1. The Office Shoppe’s total liability (if any) arising out of or in connection with the Website and its Purchase Services, or these Terms or any Products supplied under them, however arising, including under contract, tort (including negligence), in equity, under statute or otherwise, will be limited to and not exceed the most recent Purchase Price paid by you under these Terms or where you have not paid the Purchase, then the total liability of The Office Shoppe is the resupply of information or Purchase Services to you.
    2. You expressly understand and agree that The Office Shoppe (and its owners, directors, officers, employees, consultants, agents, affiliates, contributors, third party content providers and licensors) shall not be liable to you for any direct, indirect, incidental, special, consequential, punitive or exemplary loss or damages or any loss or damages whatsoever which may be incurred by you, however caused and under any theory of liability. This shall include, but is not limited to, any loss of use, data, profit or opportunity (whether incurred directly or indirectly), or damage to goodwill or business reputation and any other intangible loss.
    3. The Office Shoppe is not responsible or liable in any manner for any site content (including the Content and Third Party Content) posted on the Website or in connection with the Purchase Services, whether posted or caused by users of the website of The Office Shoppe, by third parties or by any of the Purchase Services offered by The Office Shoppe.
    4. You acknowledge that The Office Shoppe does not provide the Delivery Services to you and you agree that The Office Shoppe will not be liable to you for any special, indirect or consequential loss or damage, loss of profit or opportunity, or damage to goodwill arising out of or in connection with the Delivery Services.
    5. You warrant that:
      1. all information provided by you to us through the Website and its Purchase Services or otherwise is lawful, current, correct and complete;
      2. if you purchase Products via the Purchase Service, the delivery address and person receiving the Products is authorised by you to do so; and
      3. you have and will comply with all applicable laws relating to your use of the Website and your placement of any order with us via the Purchase Service.
  14. Termination of Contract
    1. The Terms will continue to apply until terminated by either you or by The Office Shoppe as set out below.
    2. If you want to terminate the Terms, you may do so by:
      1. notifying The Office Shoppe at any time; and

    3. The Office Shoppe may at any time, terminate the Terms with you if:
      1. you have breached any provision of the Terms or intend to breach any provision;
      2. The Office Shoppe is required to do so by law;
      3. the partner with whom The Office Shoppe offered the Purchase Services to you has terminated its relationship with The Office Shoppe or ceased to offer the Purchase Services to you;
      4. The Office Shoppe is transitioning to no longer providing the Purchase Services to Users in the country in which you are resident or from which you use the service; or
      5. the provision of the Purchase Services to you by The Office Shoppe is, in the opinion of The Office Shoppe, no longer commercially viable.
    4. Subject to local applicable laws, The Office Shoppe reserves the right to discontinue or cancel your Account on the Website at any time and may suspend or deny, in its sole discretion, your access to all or any portion of the Website or the Purchase Services without notice if you breach any provision of the Terms or any applicable law or if your conduct impacts The Office Shoppe’s name or reputation or violates the rights of those of another party.
    5. When the Terms come to an end, all of the legal rights, obligations and liabilities that you and The Office Shoppe have benefited from, been subject to (or which have accrued over time whilst the Terms have been in force) or which are expressed to continue indefinitely, shall be unaffected by this cessation, and the provisions of this clause shall continue to apply to such rights, obligations and liabilities indefinitely.
  15. Indemnity
    1. You agree to indemnify and will keep The Office Shoppe (and its owners, directors, officers, employees, consultants, agents, affiliates, contributors, third party content providers and licensors) indemnified from and against:
      1. any actions, suits, claims, demands, liabilities, costs, charges, expenses, injuries, loss and damage (including legal fees on a full indemnity basis) (whether direct or indirect) incurred, suffered or arising out of or in connection with your accessing, using or transacting on the Website or attempts to do so; and/or
      2. any breach by you or your agents of these Terms; and/or
      3. any breach by you or your agents of the Terms; and/or
      4. any breach by you or your agents of any rights of third parties.
  16. Dispute Resolution
    1. Compulsory:If a dispute arises out of or relates to the Terms, either party may not commence any Tribunal or Court proceedings in relation to the dispute, unless the following clauses have been complied with (except where urgent interlocutory relief is sought).
    2. Notice:A party to the Terms claiming a dispute (‘Dispute’) has arisen under the Terms, must give written notice to the other party detailing the nature of the dispute, the desired outcome and the action required to settle the Dispute.
    3. Resolution:On receipt of that notice (‘Notice’) by that other party, the parties to the Terms (‘Parties’) must:
      1. Within 14 days of the Notice endeavour in good faith to resolve the Dispute expeditiously by negotiation or such other means upon which they may mutually agree;
      2. If for any reason whatsoever, 21 days after the date of the Notice, the Dispute has not been resolved, the Parties must either agree upon selection of a mediator or request that an appropriate mediator be appointed by the President of the South Queensland Dispute Resolution Centre or his or her nominee;
      3. The Parties are equally liable for the fees and reasonable expenses of a mediator and the cost of the venue of the mediation and without limiting the foregoing undertake to pay any amounts requested by the mediator as a pre-condition to the mediation commencing. The Parties must each pay their own costs associated with the mediation;
      4. The mediation will be held in Queensland, Australia.
    4. Confidential:All communications concerning negotiations made by the Parties arising out of and in connection with this dispute resolution clause are confidential and to the extent possible, must be treated as “without prejudice” negotiations for the purpose of applicable laws of evidence.
    5. Termination of Mediation:If 4 weeks have elapsed after the start of a mediation of the Dispute and the Dispute has not been resolved, either Party may ask the mediator to terminate the mediation and the mediator must do so.
  17. Venue
    1. The Website and the Purchase Service offered by The Office Shoppe are intended to be viewed, accessed and/or used by residents of the Commonwealth of Australia.
    2. If you choose to access the Website from another location, you are responsible for compliance with applicable local laws. The Office Shoppe makes no representation that the Website is appropriate or available for use in locations outside the Commonwealth of Australia.
  18. Governing Law & Jurisdiction
    1. The Office Shoppe controls and operates the Website from within the Commonwealth of Australia. The Terms are governed by the laws of the State of Queensland, Australia.
    2. Any dispute, controversy, proceeding or claim of whatever nature arising out of or in any way relating to the Terms and the rights created hereby shall be governed, interpreted and construed by, under and pursuant to the laws of Queensland, Australia, without reference to conflict of law principles, notwithstanding mandatory rules.
    3. You and The Office Shoppe hereby irrevocably and unconditionally agree to submit to the exclusive jurisdiction and venue of the courts of Queensland, Australia.
    4. The validity of this governing law and jurisdiction clause is not contested. The Terms shall be binding to the benefit of the parties hereto and their successors and assigns.
  19. Changes to Terms & Conditions
    1. The Office Shoppe reserves the right to review, amend and/or change any of the Terms at any time and at its sole and absolute discretion. Any revision to the Terms will be posted directly to this Privacy Policy page and will be effective immediately.
    2. We recommend that you return periodically to review the Terms, and that you keep a copy of the Terms for your records.
    3. By continuing to use the Website and/or the Purchase Services after any revision becomes effective, you agree to be bound by the revised Terms.
  20. Severance
    • You agree that, if any part of these Terms is found to be void or unenforceable by a Court of competent jurisdiction, that part shall be severed and the rest of the Terms shall remain in full force and effect.
    • Both parties confirm and declare that the provisions of the Terms are fair and reasonable and both parties having taken the opportunity to obtain independent legal advice and declare the Terms are not against public policy on the grounds of inequality or bargaining power or general grounds of restraint of trade.
  21. Acceptance of the Terms
    • You accept that your use of the Website and the Purchase Services, indicates that you have had sufficient opportunity to access the Terms & Conditions and that you have read and accepted the Terms.
